We were happy to participate in ACC Israel’s annual conference held yesterday. Adv. (CPA) Esther Koren, Vice Chairman and Head of our Corporate, Mergers & Acquisitions Department, participated in a panel on “A Market in Crisis – the GC Perspective”, in which she reviewed the various aspects a GC must manage in a crisis: the crisis itself; the regulatory aspect (timing and scope of report in a public company); contractual aspects and obligations; corporate governance and Board of Directors conduct; media / public view aspect; as well as minimizing legal exposure and protecting company office holders.
In addition, she shared important tips on crisis management for GCs: cooperative work with the proper entities within the organization, keep “ego” out of the picture; understand the significance of decisions – a decision to not act is also a decision with its own implications; protect company office holders – exemption, insurance, indemnity; proper, informed and transparent conduct, including raising red flags by gatekeepers when necessary; display leadership and take action fearlessly; consult with intelligent, experienced advisors with a practical approach.
